Notice to the Market – Consent of the vehicle manufacturers of the merger of Simpar Concessionárias

JSL S.A. (BM&FBOVESPA:JSLG3), the company with the broadest portfolio of logistics services in Brazil and the leader in its segment in terms of net revenue, hereby announces to its shareholders and the market in general that, as set forth in the Protocol and Justification of the Merger of Shares Issued by Simpar Concessionárias S.A. by JSL S.A., it has satisfactorily concluded, on this date, the process that required the consent of the vehicle manufacturers for the accomplishment of the aforementioned merger of shares, approved by the Extraordinary Shareholders’ Meeting held on January 9, 2012. Therefore, the Company will proceed with this operation.

The Company’s management wishes to reiterate that, in its understanding, the acquisition of the Concessionaires will increase JSL’s competitiveness, by increasing the Company’s capacity to resell its operational assets and capturing synergies, such as optimizing the resale and acquisition value of assets, aiming to obtain economic benefits for the Company, its shareholders and clients.
