Material Fact – Acquisition of Borgato – CADE Approval

JSL S.A. (“JSL” or “Company”), (B3:JSLG3), a publicly-held company, following the Material Facts disclosed on October 18, 2017 and November 24, 2017, hereby informs its shareholders and the market in general that the General Superintendence of the Administrative Counsel of Economic Defense (“CADE”) approved the acquisition of the entire capital of Borgato Maquinas S.A., Borgato Serviços Agrícolas S.A. and Borgato Caminhões S.A. (“Borgato Companies”), without restrictions. Such approval was published, on this date, in the official newspaper “Diário Oficial da União”.The acquisition of the entire capital of the Borgato Companies will be regulated by the agreement to be signed and will be subject to the usual conditions for this type of transaction, including the decisions made by CADE.

JSL will keep its shareholders and the market in general informed about the transaction involving the acquisition of the Borgato Companies.
